Koskii Barter Collaboration Campaign – Terms and Conditions


PURPOSE:
The purpose of these Terms and Conditions (hereinafter referred to as "Terms") is to outline the
responsibilities, expectations, and obligations between Koskii (hereinafter referred to as the "Brand")
and the individual participating in the barter-based influencer collaboration campaign (hereinafter
referred to as the "Brand").


1. DEFINITIONS AND INTERPRETATION:

1.1. Definitions
1.1.1. "Campaigner" An individual who agrees to these Terms and participates in the barter
collaboration campaign organized by the Brand.
1.1.2. "Brand" Koskii, the brand organizing and managing the barter collaboration campaign.
1.1.3. "Barter Collaboration Campaign" A marketing initiative wherein the Campaigner receives products from the Brand in exchange for creating and publishing content featuring the products on specified media platforms.
1.1.4. "Media" Social networking services ie. All digital platforms where the Campaigner shares agreed-upon content.
1.1.5. "Content" Images, videos, captions, and any other media material created and posted by the Campaigner under the collaboration agreement.
1.1.6. "UGC (User-Generated Content)" Usage rights refer to the permissions a brand needs to legally use content created by others, such as users, influencers, or customers.


2. Posting and Revision of Terms:

2.1. These Terms shall be made available to all Campaigners on the campaign application page or shared digitally.
2.2. The Brand may revise these Terms without prior individual consent if required by law or internal policy.
2.3. Revised Terms will be communicated at least 7 days in advance. If unfavourable to
Campaigners, they will be notified 30 days prior.
2.4. Continued participation implies acceptance of revised Terms unless the Campaigner explicitly opts out and withdraws from the campaign before the effective date.


3. Effectiveness of Terms:

These Terms become effective when the Campaigner accepts them by checking the
agreement box on the collaboration form or any other consent mechanism provided by the Brand. 

4. Eligibility and Participation:

4.1. To participate, a Campaigner must:
4.1.1. Submit accurate personal and social media details via the provided application form by the Brand.
4.1.2. Not have previously violated any brand or affiliate platform campaign policies.
4.2. The Brand reserves the right to reject applications at its discretion.

5. Service Scope:

5.1. Under the Barter Collaboration Campaign:
5.1.1. The Brand will send the Campaigner one or more products, free of cost, provided
5.1.2. The Campaigner agrees to create and post content featuring the product(s) within the timeline and format specified by the Brand.
5.1.3. No monetary payment is involved; the product is the sole compensation.


6. Content Guidelines:

6.1. Campaigners must:
6.1.1. Feature the received product clearly and attractively.
6.1.2. Follow caption and tagging instructions as outlined in the campaign brief.
6.1.3. Ensure content remains live and visible indefinitely unless otherwise specified.
6.1.4. Avoid offensive, misleading, or inappropriate language or visuals.


7. Content Rights:

7.1. The Campaigner retains ownership of the content created.
7.2. The Brand is granted a non-exclusive, royalty-free license to repost, repurpose, and promote the content across its digital platforms and marketing materials.
7.3. The Campaigner grants the Brand the perpetual rights to use all content created under this collaboration across any media.


8. Obligations of the Brand:

The Brand shall:
8.1. Provide the Campaigner with the agreed product(s) in a timely manner.
8.2. Share clear campaign briefs and guidelines.
8.3. Protect Campaigner personal data in accordance with applicable privacy laws.


9. Obligations of the Campaigner:

The Campaigner agrees to:
9.1. Publish the agreed-upon content by the specified deadline.
9.2. Follow all instructions regarding content format, tags, and captions.
9.3. Use the product solely for campaign-related purposes and not resell it.
9.4. Refrain from any misrepresentation or breach of trust that could damage the Brand’s
reputation.
9.5. Maintain professional communication with the Brand.


10. Non-Compliance and Penalties:

10.1. Product Recovery: The Campaigner must return the unused product(s) within 7 working days at their own expense, or else is liable to pay the full MRP plus shipping.
10.2. Blacklisting: The Campaigner will be blacklisted from all future brand collaborations.
10.3. Platform Escalation: Brand may report the incident to affiliate platforms (e.g.,
Indent/Spray.io), which could result in suspension or removal.
10.4. Communication Termination: All future communication and collaboration opportunities will be revoked.
10.5. Ad Partnership Collaboration: in case the Campaigner does not comply with the stated terms in clause (17) no payment will be made and all of the clauses of non-compliance and penalties stated above will be enforced.


11. Termination of Participation

Campaigners may request withdrawal from the campaign prior to product dispatch.
Post dispatch, termination requests will be accepted only in exceptional cases, and the product must be returned


12. Disclaimers and Limitations of Liability

12.1. The Brand shall not be held liable for delays or failure in product delivery due to unforeseen circumstances.
12.2. The Campaigner is responsible for any third-party claims arising from their content.
12.3. The Brand will not mediate personal disputes between Campaigners and other parties.


13. Privacy and Data Use

All data collected will be used solely for campaign execution and compliance, in accordance with Brand’s Privacy Policy.

14. Complaints and Grievances

Campaigners may report issues or grievances via email or any communication channel
designated by the Brand. The Brand will respond within 7 working days, barring
exceptional circumstances.


15. Transfer of Rights and Obligation

Campaigners may not transfer or assign their participation, content obligations, or any
other rights or responsibilities to another party without prior written consent from the
Brand.


16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any
disputes arising in relation to these Terms, the collaboration, or any matter connected there to shall be subject to the exclusive jurisdiction of the competent courts and authorities in India, in accordance with applicable laws.


17. Authorized Paid Partnership Ad

17.1. The collaborator agrees to grant Koskii permission to run the approved content as a
Partnership Ad through Meta’s branded content tools. This includes enabling ad permissions from their Instagram and/or Facebook handle through Meta Business Manager. The content will be promoted directly by Koskii, appearing under the collaborator’s handle, for paid media purposes.
Providing this ad access is mandatory for all selected collaborators. Failure to approve the ad request will result in disqualification from the campaign, or in the case of paid collaborations the agreed payment will be held back for a period of 7 days from the day of the Ad collaboration request from the brand through a mail, if in the case of non compliance within the 7 day period The collaborator will be obliged to return the barter products back to the brand and the clauses under Non-Compliance and Penalties(10) will be enforceable by the brand

17.2. The brand retains the right to select and promote specific content as Paid Partnership Ads, at its discretion and in alignment with campaign objectives. The collaborator agrees to adhere to the brand’s promotional direction and acknowledges the brands decision regarding ad selection and usage will rest solely with the brand.
